Terms of Service and Market Data Disclaimer

These Terms of Service ("Terms") govern your access to and use of FastTrader LLC ("FastTrader"), including its software, charting tools, analytics, alerts, interfaces, order-entry features, local caching functionality, and related services (collectively, the "Platform"). By downloading, installing, accessing, or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Platform.

1. Nature of the Platform

FastTrader LLC is a software platform that connects to third-party brokerage and market data services, including Interactive Brokers and any other approved providers connected through the user's own account.

FastTrader LLC is not a broker-dealer, investment adviser, futures commission merchant, clearing firm, exchange, or market data vendor. FastTrader does not originate market data feeds, does not custody funds or securities, and does not execute trades on its own behalf.

Orders submitted through the Platform are transmitted to the user's connected broker or execution provider, which is solely responsible for order acceptance, rejection, routing, execution, cancellation, account permissions, buying power calculations, margin treatment, and all other brokerage-side or venue-side functions.

2. Eligibility and User Responsibility

You represent and warrant that:

  • you are legally capable of entering into these Terms;
  • you are authorized to use any brokerage account or market data entitlement connected to the Platform;
  • all information you provide in connection with the Platform is accurate; and
  • you will use the Platform in compliance with all applicable laws, regulations, exchange rules, brokerage agreements, and market data license terms.

You are solely responsible for:

  • maintaining your brokerage account and credentials;
  • obtaining and maintaining any required market data subscriptions or permissions;
  • verifying orders, executions, positions, balances, and account information with your broker;
  • ensuring compliance with all applicable laws and third-party agreements; and
  • all trading and investment decisions made through or in connection with the Platform.

3. Third-Party Market Data

Quotes, charts, historical data, volume data, analytics inputs, and other market information displayed in the Platform are obtained from third-party sources, including Interactive Brokers, exchanges, and other market data vendors made available through your connected account.

Such data is provided for informational purposes only and on an "AS IS" and "AS AVAILABLE" basis. FastTrader does not guarantee that any market data or related information is accurate, complete, current, timely, uninterrupted, or error-free.

FastTrader may calculate, transform, aggregate, or display derived values based on third-party market data, including indicators, overlays, alerts, summaries, reconstructions, and analytics. These derived outputs are also provided on an "AS IS" basis and may contain delays, approximations, omissions, or errors.

4. Local Data Caching

FastTrader does not maintain or store historical market data on FastTrader-operated servers for user accounts.

Market data and historical data may be cached locally on the user's personal device solely for the purpose of improving application performance, reducing redundant requests, and limiting load on the Interactive Brokers API and related services.

Any locally cached market data remains subject to the applicable terms, conditions, restrictions, and usage policies of Interactive Brokers and any relevant exchange or market data provider. Users may not redistribute, sublicense, externally display, commercially reuse, publish, transmit, or otherwise use such data in violation of those third-party terms.

FastTrader makes no representation that locally cached data is complete, current, or continuously available, and FastTrader is not responsible for any loss, corruption, deletion, staleness, or unavailability of locally cached data.

5. Interactive Brokers and Third-Party Terms

Your use of FastTrader with Interactive Brokers data, APIs, account connectivity, order routing, and related services is subject to the applicable terms, policies, entitlements, and restrictions imposed by Interactive Brokers and any relevant exchange or market data provider.

Nothing in these Terms grants you any rights to third-party market data or services beyond those granted by the applicable provider. If a provision of these Terms conflicts with a binding market data license, broker agreement, or exchange rule applicable to your use, the applicable third-party requirement shall control to the extent of that conflict.

6. No Investment, Trading, Legal, or Tax Advice

The Platform is provided for informational and technical utility purposes only. Nothing in the Platform constitutes investment advice, trading advice, legal advice, tax advice, accounting advice, or a recommendation, endorsement, solicitation, or offer to buy, sell, or hold any security, futures contract, option, digital asset, or other financial instrument.

You are solely responsible for evaluating any information provided through the Platform and for all trading and investment decisions you make.

7. Execution and Brokerage Disclaimer

FastTrader does not control and is not responsible for:

  • whether an order is accepted or rejected;
  • how an order is routed;
  • execution speed or execution quality;
  • slippage;
  • fills or partial fills;
  • cancellations;
  • brokerage permissions or restrictions;
  • account status or account errors;
  • margin, risk, or liquidation logic;
  • market data entitlements; or
  • any failure, delay, or interruption caused by a broker, exchange, venue, API, or data provider.

All such matters are determined by your connected broker, exchange, venue, or provider.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM, ALL SOFTWARE, ALL DATA DISPLAYS, ALL ANALYTICS, ALL ALERTS, ALL DERIVED CALCULATIONS, ALL LOCAL CACHE FUNCTIONALITY, AND ALL RELATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

FASTTRADER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

  • MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • NON-INFRINGEMENT,
  • TITLE,
  • ACCURACY,
  • COMPLETENESS,
  • RELIABILITY,
  • AVAILABILITY,
  • SECURITY, AND
  • UNINTERRUPTED OPERATION.

FASTTRADER DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, FREE OF BUGS, FREE OF DELAYS, SECURE, OR COMPATIBLE WITH ANY PARTICULAR DEVICE, NETWORK, BROKER, API VERSION, OR OPERATING ENVIRONMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FASTTRADER AND ITS OWNERS, AFFILIATES, LICENSORS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, INCLUDING WITHOUT LIMITATION:

  • LOST PROFITS,
  • TRADING LOSSES,
  • LOST OPPORTUNITIES,
  • BUSINESS INTERRUPTION,
  • LOSS OF DATA,
  • LOSS OF GOODWILL,
  • DELAYS,
  • MISSED EXECUTIONS,
  • MISSED ALERTS,
  • INCORRECT ALERTS,
  • CHARTING ERRORS,
  • INDICATOR ERRORS,
  • STALE OR MISSING DATA,
  • INTERNET OR CONNECTIVITY FAILURES,
  • SYSTEM FAILURES,
  • API FAILURES,
  • SECURITY BREACHES, OR
  • ANY DAMAGES ARISING FROM OMISSIONS, INTERRUPTIONS, OR INACCURACIES IN DATA OR INFORMATION,

ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE ON THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Assumption of Risk

You acknowledge and agree that use of market data, charting tools, alerts, analytics, and trading interfaces involves substantial risk. You assume full responsibility for all outcomes arising from your use of the Platform, including any losses resulting from:

  • erroneous or delayed data,
  • chart or indicator behavior,
  • local cache behavior,
  • platform bugs,
  • broker/API outages,
  • network issues,
  • user input errors, or
  • reliance on any output or display generated by the Platform.

As a condition of using the Platform, you expressly waive, to the fullest extent permitted by law, any claim against FastTrader arising from your reliance on any data, display, calculation, or output made available through the Platform.

11. Market Data Restrictions

Unless expressly authorized by the applicable provider, you may not:

  • redistribute,
  • sublicense,
  • publish,
  • broadcast,
  • externally display,
  • resell,
  • commercially exploit, or
  • otherwise provide raw or derived market data to any third party

in any manner that violates applicable broker terms, market data agreements, exchange rules, vendor restrictions, or law.

FastTrader does not grant any independent license to third-party market data.

12. Prohibited Conduct

You shall not, and shall not permit any third party to:

  1. interfere with the Platform by using malware, viruses, automated abuse, bots, scripts, or any other software or technology designed to disrupt, overload, damage, or gain unauthorized access to the Platform or related systems;
  2. modify, create derivative works from, reverse engineer, decompile, disassemble, decode, or otherwise attempt to extract source code from any part of the Platform, except to the extent such restriction is prohibited by law;
  3. use any device, process, scraper, or method to gain unauthorized access to proprietary information, account data, source-provider data, exchange data, or other protected information;
  4. engage in any activity that materially interferes with the operation, security, or integrity of the Platform;
  5. use the Platform in a manner that violates any broker, exchange, or market data provider agreement; or
  6. use identity-concealing or access-masking technologies, including certain VPNs, proxies, or similar tools, in any manner that violates law, provider policy, brokerage policy, or access controls applicable to the Platform.

13. Fees and Third-Party Costs

You are solely responsible for all fees, costs, and charges associated with your use of the Platform and any connected third-party services, including without limitation:

  • brokerage fees,
  • exchange fees,
  • market data subscription fees,
  • connectivity fees, and
  • any other charges imposed by Interactive Brokers or other third-party providers.

FastTrader is not responsible for such fees and does not guarantee the availability of any particular market data entitlement.

14. Simulation or Training Features

If the Platform offers paper trading, replay, training, or simulated features, those features are for informational or educational purposes only. Simulated trading does not reflect actual market conditions, routing behavior, latency, liquidity, slippage, or execution quality.

15. Suspension or Termination

FastTrader LLC may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, if it believes you have violated these Terms, created legal or operational risk, misused third-party data, or used the Platform in an unauthorized or improper manner.

16. License and Intellectual Property

Subject to these Terms, FastTrader LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Platform solely for your own internal personal or business use in accordance with these Terms.

The Platform, including its software, source code, object code, design, layout, branding, trademarks, logos, text, graphics, and related intellectual property, is owned by FastTrader LLC or its licensors and is protected by applicable intellectual property laws.

Except as expressly permitted in these Terms, no right, title, or interest in or to the Platform or any intellectual property rights therein is transferred to you. All rights not expressly granted are reserved by FastTrader LLC and its licensors.

17. Modifications to the Platform or Terms

FastTrader LLC may modify, suspend, or discontinue any part of the Platform at any time without liability.

FastTrader LLC may also update these Terms from time to time. Your continued use of the Platform after revised Terms become effective constitutes your acceptance of the updated Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

19. Severability, Waiver, and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

No waiver by FastTrader LLC of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision, and any failure by FastTrader LLC to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

These Terms constitute the entire agreement between you and FastTrader LLC regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and communications, whether written or oral, relating to the Platform.
